Synbio International Inc. (OTC: SYIN) announced execution of a Share Purchase Agreement and Warrant Agreement with FacialDx, Inc., expanding the clinical partnership the two companies established earlier in 2025.

Deal Terms

Under the Share Purchase Agreement, Synbio acquires 100,000 Class A common shares in FacialDx through staged funding of $200,000 over 12 months. The agreement also grants Synbio the option to convert up to $2.5 million in future clinical trial costs into additional FacialDx shares at current valuation levels. Synbio issued a warrant allowing FacialDx to purchase 30,000,000 Synbio common shares at $0.001 per share upon FDA approval.

Oversight and Strategy

The companies established a Joint Trial Oversight Committee to manage scientific rigor and regulatory alignment throughout the clinical studies validating FacialDx’s AI-driven depression screening platform.

CEO Claudio Solitario said the partnership creates “a powerful pathway toward regulatory approval and revenue generation,” combining Synbio’s clinical expertise with FacialDx’s technology across multiple potential health applications, including traumatic brain injury and sleep disorders.

Synbio said it is evaluating funding options to support clinical and commercial milestones under these agreements.
